Terms of Service

Effective March 28, 2026

These Terms of Service (“Terms”) govern your access to and use of Thredz, a voice-first ambient thought capture application operated by Agyeman Enterprises LLC (“Company,” “we,” “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using Thredz at thredz.io (the “Service”), you confirm that you are at least 13 years old (or have a parent/guardian workspace admin managing your profile) and that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Account Creation & Workspace Responsibility

To use Thredz, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Keeping your account information accurate and up to date

Workspaces are collaborative environments within Thredz. If you create a workspace, you are the workspace administrator and are responsible for:

• Managing members and their roles within the workspace
• The content captured and stored in the workspace
• Ensuring that any child profiles (under 13) are created with proper parental consent
• Billing and subscription management for the workspace

3. Acceptable Use

You agree to use Thredz only for lawful purposes. You may not:

• Record or transcribe conversations of others without their knowledge and consent where required by applicable law
• Use the Service to capture, store, or transmit content that is illegal, threatening, harassing, defamatory, or that infringes on the rights of others
• Attempt to manipulate or abuse the AI classification system (e.g., submitting content designed to produce misleading classifications for fraudulent purposes)
• Interfere with or disrupt the Service, its servers, or networks connected to the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use automated scripts or bots to access the Service outside of our published APIs
• Create multiple free accounts to circumvent usage limits
• Resell or redistribute the Service without our written consent

4. Plan Tiers & Billing

Thredz offers the following subscription plans:

Paid subscriptions are billed monthly or annually (if available) through our payment processor. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. All fees are stated in US dollars.

• Upgrades take effect immediately. You will be charged a prorated amount for the remainder of the current billing period.
• Downgrades take effect at the end of the current billing period. You retain access to paid features until then.
• Cancellations take effect at the end of the current billing period. Your data is retained for 90 days after cancellation per our Privacy Policy.
• Refunds: We offer a full refund within the first 14 days of a new paid subscription. After that, we do not offer refunds for partial billing periods.

We reserve the right to change pricing with 30 days’ notice. Price changes will not apply to the current billing period.

5. Intellectual Property

5.1 Your Content

You own your thoughts. All voice recordings, transcripts, classifications, and any other content you create through the Service (“Your Content”) remains your intellectual property. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely to provide and improve the Service for you. This license ends when you delete Your Content or your account.

5.2 Our Platform

The Service itself — including its design, code, algorithms, user interface, branding, documentation, and all related intellectual property — is owned by Agyeman Enterprises LLC and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described here.

5.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback without obligation to you.

6. AI Disclaimer

Thredz uses artificial intelligence to transcribe voice recordings and classify thoughts. You acknowledge and agree that:

• Transcription may not be perfect. Voice-to-text conversion is subject to errors due to background noise, accents, technical audio quality, and the inherent limitations of speech recognition technology. Always review important transcripts for accuracy.
• Classification is suggestive, not definitive. AI-generated labels (e.g., “task,” “idea,” “reminder”) are best-effort suggestions based on the content of your transcript. They may not always reflect your intent.
• Not professional advice. Thredz is a thought capture and organization tool. It does not provide medical, legal, financial, therapeutic, or any other form of professional advice. Do not rely on AI classifications as a substitute for professional judgment.
• AI behavior may change. As we update our AI models and providers, classification behavior and accuracy may change over time. We strive to improve quality but cannot guarantee consistency across updates.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
• In no event shall Agyeman Enterprises LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, revenue, profits, or business opportunities, arising out of or related to your use of the Service.
• Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

8. Indemnification

You agree to indemnify and hold harmless Agyeman Enterprises LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

• By you: You may close your account at any time through your account settings or by contacting us at contact@thredz.io.
• By us: We may suspend or terminate your access to the Service at any time if you violate these Terms, if your account has been inactive for more than 12 months, or if we discontinue the Service. We will provide reasonable notice except in cases of serious violations.
• Effect of termination: Upon termination, your right to use the Service ceases immediately. Data retention after termination is governed by our Privacy Policy.

10. Dispute Resolution

Before filing any formal legal claim, you agree to first contact us at contact@thredz.io and attempt to resolve the dispute informally for at least 30 days. If we cannot resolve the dispute informally, either party may pursue formal legal proceedings.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

12. Changes to These Terms

We may revise these Terms from time to time. When we make material changes, we will notify you via email or a prominent notice within the app at least 14 days before the changes take effect. Continued use of the Service after revised Terms become effective constitutes your acceptance of the revised Terms.

13. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Agyeman Enterprises LLC regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
